2. NATURE AND SCOPE OF SERVICES

AXIALIS provides business-to-business (B2B) China sourcing, procurement consulting, outsourced procurement coordination and related supply chain support services.

Depending on the nature of a project and the scope expressly agreed with a client, services may include supplier identification and verification, factory assessments, sourcing strategy, procurement negotiation support, sample coordination, production monitoring, quality control coordination, product compliance documentation support, OEM/ODM sourcing and logistics coordination through independent providers.

AXIALIS operates as a procurement consulting and coordination partner. Its precise role, authority, responsibilities and deliverables are determined separately for each engagement.

Unless expressly agreed otherwise, AXIALIS is not the manufacturer, seller, distributor, importer of record, customs broker, freight carrier, accredited testing laboratory or certification body of the products discussed or sourced.

Nothing on this website shall be interpreted as creating any such status or responsibility automatically.

3. WEBSITE INFORMATION AND PRE-CONTRACTUAL COMMUNICATIONS

All information published on this website is provided for general business and informational purposes.

Descriptions of services, sourcing capabilities, product examples, project references, industry information and other published materials are illustrative and do not constitute binding commercial offers, professional guarantees or commitments to undertake a specific project.

Communications through contact forms, email, telephone, WhatsApp, online chat, AI-assisted systems, video meetings or other channels are generally intended for preliminary inquiries, information exchange and potential project evaluation.

Unless AXIALIS expressly states otherwise through an authorized representative, such preliminary communications are non-binding and do not constitute acceptance of a procurement assignment or commitment to deliver any particular result.

Any specific commercial proposal, service engagement or contractual commitment requires separate agreement between the relevant parties, subject to applicable law.

4. FORMATION OF SERVICE AGREEMENTS

Submission of an inquiry, request for quotation, product specification or other project information does not, by itself, establish a contractual relationship with AXIALIS.

Similarly, preliminary discussions, feasibility comments, supplier suggestions, indicative pricing or expressions of interest do not automatically constitute acceptance of an assignment.

AXIALIS intends that professional engagements be established through a separately accepted written proposal, service agreement, purchase order or other documented arrangement identifying the relevant commercial terms.

Such terms may include:

  • Scope of services and project objectives.
  • Deliverables and responsibilities of each party.
  • Fees, payment terms and applicable expenses.
  • Project timelines and milestones.
  • Supplier and third-party responsibilities.
  • Confidentiality and intellectual property provisions.
  • Applicable liability arrangements.
  • Contract duration and termination conditions.

A written agreement may be executed through legally valid electronic means where applicable.

Nothing in these Terms excludes contractual obligations or pre-contractual responsibilities that arise under mandatory applicable law.

Where a separate agreement exists, its specifically negotiated provisions shall prevail over these website Terms in relation to the contracted services.

5. NO AUTOMATIC AUTHORITY TO REPRESENT OR BIND CLIENTS

AXIALIS may communicate with suppliers, manufacturers and other third parties in connection with preliminary inquiries or agreed procurement activities.

Such communication does not, by itself, authorize AXIALIS to legally represent a client, conclude purchase contracts on the client’s behalf, place binding orders, accept goods, assume payment obligations or make legally binding commitments for the client.

Any authority to undertake such actions must be expressly granted and defined in the relevant agreement or authorization.

Likewise, AXIALIS does not automatically become a party to commercial agreements between clients and third-party manufacturers or suppliers.

The identity and contractual responsibilities of each party must be established in the relevant transaction documents.

6. QUOTATIONS, COST ESTIMATES AND COMMERCIAL INFORMATION

Any preliminary prices, cost estimates, manufacturing quotations, minimum order quantities (MOQ), lead times, freight estimates or other commercial figures communicated before a formal engagement are indicative unless expressly confirmed otherwise.

Such information may depend on product specifications, materials, production volumes, tooling, exchange rates, supplier availability, testing requirements, logistics arrangements, taxes, tariffs and other commercial conditions.

AXIALIS does not guarantee that preliminary estimates will remain valid or that suppliers will accept the same terms at a later date.

Binding prices, payment obligations and commercial commitments shall be determined through the relevant accepted quotation, purchase agreement or other applicable contractual documentation.

7. SUPPLIER SOURCING, VERIFICATION AND FACTORY ASSESSMENTS

Supplier identification, factory verification, due diligence and audit support are intended to assist clients in evaluating potential manufacturing partners.

Assessments may be based on information, documentation, inspections, observations or third-party reports available at the relevant time.

Such activities do not constitute an absolute guarantee of a supplier’s financial stability, legal compliance, manufacturing capacity, future performance or ability to fulfill contractual obligations.

Unless expressly agreed otherwise, the final decision to approve a supplier, enter into a purchase contract or accept commercial risks remains with the client.

The scope, methodology and limitations of any paid audit or verification assignment will be defined separately.

8. SAMPLES, PRODUCT DEVELOPMENT AND QUALITY CONTROL

AXIALIS may assist with product specifications, samples, prototypes, OEM/ODM development, production monitoring and quality inspection arrangements.

Samples, prototypes and inspection results represent the products, production batches, conditions or characteristics actually assessed.

Approval of a sample or satisfactory inspection outcome does not automatically guarantee that all future production units will be identical or free from defects.

Product acceptance criteria, inspection methods, sampling standards, tolerances, testing requirements and corrective action procedures should be expressly defined in the relevant project documentation.

AXIALIS does not guarantee manufacturing outcomes or assume responsibility for defects beyond the obligations expressly agreed and those imposed by applicable law.

9. PRODUCT COMPLIANCE AND CERTIFICATION

AXIALIS may assist clients in identifying applicable product compliance requirements and coordinating documentation, testing or certification activities with manufacturers and qualified third-party providers.

Such assistance does not constitute independent legal certification, accredited testing or a guarantee that a product satisfies all applicable European Union or national regulatory requirements.

Product compliance obligations may vary depending on the product category, intended use, destination market and the legal role of each economic operator.

Unless expressly agreed otherwise, AXIALIS does not assume the statutory responsibilities of the manufacturer, importer, authorized representative or other regulated economic operator.

Responsibilities for conformity assessments, technical documentation, product labeling, declarations of conformity and market placement remain with the parties legally responsible under the applicable regulations.

10. LOGISTICS, CUSTOMS AND THIRD-PARTY SERVICES

AXIALIS may provide coordination or support in identifying logistics, freight forwarding, customs, warehousing, testing, inspection or other third-party service providers.

Unless separately agreed and legally authorized, AXIALIS does not act as a freight carrier, customs representative, importer of record or transport insurer.

The provision of third-party contact information, recommendations or coordination does not automatically make AXIALIS responsible for the independent provider’s performance.

Transportation, customs clearance, import duties, taxes, insurance and delivery responsibilities shall be allocated under the relevant commercial agreements and applicable law.

11. CLIENT INFORMATION, CONFIDENTIALITY AND INTELLECTUAL PROPERTY

Clients and prospective clients may provide product drawings, technical specifications, photographs, commercial requirements, pricing information and other project materials.

Users are responsible for ensuring that they have the necessary rights and authorization to submit such materials.

AXIALIS will take reasonable measures to protect confidential business information received in connection with legitimate inquiries.

However, submission of information through the website does not automatically establish a formal non-disclosure agreement.

For commercially sensitive designs, proprietary technology or other confidential materials, the parties are encouraged to agree on appropriate confidentiality arrangements before disclosure.

Where supplier consultation is necessary, project information may be shared with relevant team members or potential professional partners only to the extent reasonably necessary and subject to applicable confidentiality and data protection requirements.

Submission of materials does not transfer ownership of intellectual property rights to AXIALIS.

Users grant only the limited permissions reasonably necessary to receive, assess and respond to their inquiries, unless otherwise agreed.

Any further use, development, disclosure or transfer of protected technical materials shall be subject to appropriate authorization and applicable law.

12. THIRD-PARTY SUPPLIERS AND INDEPENDENT PROVIDERS

Manufacturers, suppliers, inspection companies, laboratories, logistics providers and other external organizations may operate independently of AXIALIS.

Unless expressly stated in a separate agreement, AXIALIS does not control their business operations or assume their contractual obligations.

AXIALIS is not automatically liable for third-party acts, omissions, delays, product defects, commercial disputes or failures of performance solely because it introduced, recommended or coordinated contact with the relevant provider.

This provision does not exclude responsibility for AXIALIS’s own acts or omissions where liability arises under applicable law or an agreed contractual obligation.

13. AI-ASSISTED COMMUNICATIONS AND AUTOMATED RESPONSES

AXIALIS may use automated communication tools or artificial intelligence systems to provide preliminary information, answer frequently asked questions, organize inquiries or support initial customer communication.

Where applicable, users will be informed when they are interacting with an AI-based system.

Automated responses are provided for preliminary informational purposes and may contain inaccuracies or incomplete information.

They do not constitute binding quotations, supplier approvals, regulatory certifications, legal advice or contractual commitments.

Commercially significant decisions and commitments require appropriate review and authorization by AXIALIS personnel.

The processing of personal data through such systems will be subject to the Privacy Policy and applicable data protection requirements.

14. ACCEPTABLE USE OF THE WEBSITE

Users agree not to:

  • Submit fraudulent or misleading business inquiries.
  • Impersonate another person or organization.
  • Upload malicious software or harmful content.
  • Attempt unauthorized access to website systems.
  • Infringe intellectual property or confidentiality rights.
  • Use the website for unlawful commercial activities.
  • Interfere with website security or availability.

AXIALIS may take proportionate measures to prevent misuse or protect the integrity of its services.

15. WEBSITE INTELLECTUAL PROPERTY

Unless otherwise indicated, the AXIALIS brand, website design, original text, graphics and other protected content belong to AXIA MEDIA TECHNOLOGY GROUP S.L. or their respective lawful rights holders.

No intellectual property rights are transferred to users merely through access to the website.

Unauthorized reproduction, redistribution, commercial exploitation or misleading use of protected materials is prohibited, except where permitted by law or expressly authorized.

Third-party trademarks, product photographs and other protected materials remain subject to their respective owners’ rights.

16. LIMITATION OF LIABILITY

AXIALIS makes reasonable efforts to provide accurate and up-to-date website information.

Nevertheless, website content and preliminary communications may contain errors, omissions or information that changes over time.

Users should not rely solely on general website information or preliminary communications when making significant purchasing, technical, financial, regulatory or commercial decisions.

To the maximum extent permitted by applicable law, AXIALIS does not accept liability solely for the failure of general website information or preliminary non-binding estimates to meet a user’s commercial expectations.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other responsibility that cannot lawfully be excluded or limited.

Liability arising from contracted professional services shall be governed by the relevant service agreement and applicable mandatory law.

17. PRIVACY AND COOKIES

Personal data collected through this website is processed in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) and Spanish Organic Law 3/2018.

Additional information is available in the Privacy Policy and Cookie Policy.

Where legally required, users will be offered appropriate choices regarding non-essential cookies and similar technologies.

18. CHANGES TO THESE TERMS

AXIALIS may revise these Terms to reflect changes in legislation, website functionality or business activities.

The updated version will be published on the website together with its revision date.

Changes to these website Terms do not automatically amend separately agreed commercial contracts.

19. GOVERNING LAW AND JURISDICTION

These Terms are governed by Spanish law, without prejudice to mandatory legal provisions that may apply.

Disputes concerning the use of this website shall be submitted to the competent courts determined under applicable law.

Where legally permissible and validly agreed between business parties, jurisdiction shall lie with the courts and tribunals of Madrid, Spain.
